PLMJ advised Explorer Investments on the acquisition of a majority stake in one of Portugal's leading plastics recycling companies, Micronipol.
The aim of the transaction was to increase Micronipol's production capacity, expand the markets in which it operates and optimise its production process and operational structure.
The acquisition is part of the Explorer IV Fund's investment strategy to strengthen support for leading Portuguese companies with high growth and profitability potential. The strategy is also intended to maximise the response to the environmental concerns of investors who are looking for a socially and environmentally responsible investment portfolio in line with ESG (Environmental, Social and Governance) standards.
PLMJ's assistance included the entire M&A process and notification process to the Competition Authority, as well as issues relating to the financing of the operation.
The firm set up a multidisciplinary team to advise on the deal which included lawyers from the M&A, Competition and Banking and Finance practices. The team was led by partner Diogo Perestrelo and managing associate Rita Albuquerque (Corporate M&A).
The team included Pedro Gaspar Silva, Carolina Inverno Branco and Mariana Guisado (Corporate M&A), Ricardo Oliveira, the partner who heads the EU and Competition practice, Bruno Ferreira, partner and co-head of the Banking and Finance and Capital Markets practice, and Sara Lemos de Meneses, a senior associate from the area.
