PLMJ advised the listed German utility company RWE AG, one of the European leaders in the renewable energy industry, on the sale of several hydroelectric and wind power assets in Portugal to KELAG-Kärtner Elektrizitäts-AG.
This transaction was part of a long process of disinvestment by RWE in various European jurisdictions (including France and Spain) via a share deal, in which PLMJ advised in close cooperation with Clifford Chance (Düsseldorf). The transaction involved a restructuring of the target in Portugal, with the carve-out of a solar project which will now remain the only energy asset in Portugal in RWE's portfolio.
PLMJ's team for the operation was led by Inês Pinto da Costa, a partner from the Corporate M&A/Energy Projects practice, with the active involvement of Nuno Serrão Faria, a senior associate from the same practice area, as well as Raquel Freitas, a managing associate in the Public Law practice and Raquel Moutinho, a trainee in the Corporate M&A practice.
